7.租赁物的保管使用:

租赁设备运至本合同约定的交付地点,并经甲方查验、签收后,设备及配件由甲方保管并负责签收内容的财产安全,如有损坏、丢失由甲方按签收价在一个月进行全额赔偿,赔偿时间从乙方发函时间开始计一个月内完成,超过一个月则按同期银行标准计利息。

设备到场后设备的二次移位、安放、及在项目内的拖运均由甲方负责,乙方负责配合技术指导和设备调试。

8.设备与服务质量:

设备交付使用后,因设备自身原因或乙方操作人员原因导致设备无法正常使用的,乙方应当立即对设备和人员进行臵换或调整。

9.租赁设备配备的操作人员:

乙方应向甲方出租设备,应当配备一名具有相应的职业资格和实践操作能力过硬的操作人员,保证满足正常施工要求,操作人员应当接受甲方的.施工工作指令,密切配合甲方工作。

乙方指派的操作人员不得破坏甲方的工作规章管理制度。

乙方应当对其指派的操作人员进行安全教育。乙方指派的操作人员应当严格遵守甲方的安全管理制度,保证施工安全。

乙方指派的操作人员在甲方工地从事工作其间,由甲方向其提供劳动保护用具。

甲方负责在现场提供一间不少于15平方米的宿舍给乙方无偿使用。

10.禁止行为:

未经乙方授权,甲方不得将租赁设备转租、抵押、质押。

在租赁期间,乙方不得以任何成立或不成立的理由、方式停泵。

11.设备的维修和保养:

设备租赁期间,维修与保养由乙方负责,使设备保持良好的适用状态、达到卫生检查要求标准。

租赁合同是转移租赁物使用收益权的合同。在租赁合同中,承租人的目的是取得租赁物的使用收益权,出租人也只转让租赁物的使用收益权,而不转让其所有权;租赁合同终止时,承租人须返还租赁物。这是租赁合同区别于买卖合同的根本特征。

MASTER AGREEMENT TO LEASE EQUIPMENT

THIS MASTER AGREEMENT TO LEASE EQUIPMENT (this “Agreement”) is entered into as of _________,_________,_________(M/D/Y) by and between AAACORPORATION (“LESSOR”), having its principal place of business at _________(ADDRESS) and BBB, INC., a _________ Corporation (“LESSEE”), having a principal place of business at _________(ADDRESS).

LEASE OF EQUIPMENT. In accordance with the terms and conditions of this Agreement, Lessor shall lease to Lessee, and Lessee shall lease from Lessor, the personal property, including all substitutions, replacements, repairs, parts and attachments, improvements and accessions thereto and therein (the “EQUIPMENT”), described in the lease schedule (s) (each, a “LEASE”) to be entered into from time to time into which this Agreement is incorporated. Each Lease shall constitute a separate, distinct, and independent lease and contractual obligation of Lessee. Lessor or its assignee shall at all times retain the full legal title to the Equipment, it being expressly agreed by both parties that each Lease is an agreement of lease only.

TERM OF LEASE. The original term (the “ORIGINAL TERM”) of the Equipment shall commence on the Commencement Date and, subject to Sections and below, shall terminate on the date specified in the Lease. Notwithstanding the foregoing, the Original Term for the Equipment shall automatically extend for successive 30-day periods after its expiration (each, an “EXTENDED TERM”) unless either party gives the other party written notice, at least thirty (30) days prior to the expiration of the Original Term or any Extended Term, as the case may be, of its intent not to so extend the applicable Lease. Except as specifically provided in this Section , no Lease may be terminated by Lessor or Lessee, for any reason whatsoever, prior to the end of the Original Term or any Extended Term (collectively, the “LEASE TERM”). Notwithstanding any provision to the contrary contained in this Agreement, Lessee shall be deemed to accept the Equipment on the Commencement Date (as specified in each Lease).

RENTAL PAYMENTS. Lessee shall pay Lessor rent (“RENT”) for the Equipment in the amounts and at the times specified in the Lease. All Rent and other amounts payable by Lessee to Lessor hereunder shall be paid to Lessor at the address specified above, or at such other place as Lessor may designate in writing to Lessee from time to time.

RETURN OF EQUIPMENT. Upon expiration of the Lease Term of the Equipment, Lessee shall immediately return the Equipment to Lessor as provided in Section below. If Lessee fails to return any of the Equipment upon demand therefor by Lessor, Lessee shall pay Lessor, as the measure of Lessor's damages, the Casualty Value (as defined in the applicable Lease) of such Equipment.

DISCLAIMERS; WARRANTIES. Lessee represents and acknowledges that the Equipment is of a size, design, capacity and manufacture selected by it, and that it is satisfied that the Equipment is suitable for its purposes. LESSOR LEASES THE EQUIPMENT AS IS, AND, NOT BEING THE MANUFACTURER OF THE EQUIPMENT, THE MANUFACTURER'S AGENT OR THE SELLER'S AGENT, MAKES NO WARRANTY OR REPRESENTATION, EITHER EXPRESS OR IMPLIED, AS TO THE MERCHANTABILITY, FITNESS FOR ANY PARTICULAR PURPOSE, DESIGN OR CONDITION OF THE EQUIPMENT. LESSOR SHALL NOT BE RESPONSIBLE FOR ANY LOSS OR DAMAGE RESULTING FROM THE INSTALLATION, OPERATION OR OTHER USE, OR DEINSTALLATION OF THE EQUIPMENT, INCLUDING, WITHOUT LIMITATION, ANY DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGE OR LOSS. Lessee shall look solely to the manufacturer or the supplier of the Equipment for correction of any problems that may arise with respect thereto, and, provided no Event of Default (as defined in Section ) has occurred and is continuing, all warranties made by the manufacturer or such supplier are, to the degree possible, hereby assigned to Lessee for the Lease Term. To the extent any such warranty requires performance of any kind by the beneficiary of the warranty, Lessee shall perform in accordance therewith.

INTELLECTUAL PROPERTY. Except as otherwise expressly provided in each Lease, LESSOR MAKES NO WARRANTIES OR REPRESENTATIONS WHATSOEVER WITH RESPECT TO THE INTELLECTUAL PROPERTY RIGHTS, INCLUDING, WITHOUT LIMITATION, ANY PATENT, COPYRIGHT AND TRADEMARK RIGHTS, OF ANY THIRD PARTY WITH RESPECT TO THE EQUIPMENT, WHETHER RELATING TO INFRINGEMENT OR OTHERWISE. Lessor shall, when requested in writing and at Lessee's cost and expense, exercise rights of indemnification, if any, for patent, copyright or other intellectual property infringement obtained from the manufacturer under any agreement for purchase of the Equipment. If notified promptly in writing of any action brought against Lessee based on a claim that the Equipment infringes a United States patent, copyright or other intellectual property right, Lessor shall promptly notify the manufacturer thereof for purposes of exercising, for the benefit of Lessee, Lessor's rights with respect to such claim under any such agreement.

PAYMENTS UNCONDITIONAL; TAX BENEFITS; ACCEPTANCE. EACH LEASE SHALL BE A NET LEASE, AND LESSEE'S OBLIGATION TO PAY ALL RENT AND OTHER SUMS THEREUNDER, AND THE RIGHTS OF LESSOR IN AND TO SUCH PAYMENTS, SHALL BE ABSOLUTE AND UNCONDITIONAL, AND SHALL NOT BE SUBJECT TO ANY ABATEMENT, REDUCTION, SETOFF, DEFENSE, COUNTER CLAIM, INTERRUPTION, DEFERMENT OR RECOUPMENT, FOR ANY REASON WHATSOEVER. It is the intent of lessor, and an inducement to Lessor, to enter into each Lease, to claim all available tax benefits of ownership with respect to the Equipment subject thereto. Lessee's acceptance of the Equipment subject to a Lease shall be conclusively and irrevocably evidenced by Lessee executing an Acceptance Certificate with respect to such Equipment, and upon acceptance, such Lease shall be noncancellable for the Lease Term unless otherwise agreed to in writing by Lessor. Any nonpayment of Rent or other amounts payable under any Lease shall result in Lessee's obligation to promptly pay Lessor as additional Rent on such overdue payment, for the period of time during which it is overdue (without regard to any grace period), interest at a rate equal to the lesser of (a) fourteen percent (14%) per annum, or (b) the maximum rate of interest permitted by law.

USE OF EQUIPMENT. Lessee shall use the Equipment solely in the conduct of its business, in a manner and for the use contemplated by the manufacturer thereof, and in compliance with all laws, rules and regulations of every governmental authority having jurisdiction over the Equipment or Lessee and with the provisions of all policies of insurance carried by Lessee pursuant to Section below. Lessee shall pay all costs, expenses, fees and charges incurred in connection with the use and operation of the Equipment.

DELIVERY; INSTALLATION; RETURN; MAINTENANCE AND REPAIR; INSPECTION. Lessee shall be solely responsible, at its own expense, for (a) the delivery of the Equipment to Lessee, (b) the packing, rigging and delivery of the Equipment back to Lessor, upon expiration or termination of the Lease Term, in good repair, condition and working order, ordinary wear and tear excepted, at the location(s) within the continental United States specified by Lessor, and (c) the installation, deinstallation, maintenance and repair of the Equipment. During the Lease Term, Lessee shall ensure that the Equipment is covered by a maintenance agreement, to the extent available, with the manufacturer of the Equipment or such other party, reasonably acceptable to Lessor. Lessee shall, at its expense, keep the equipment in good repair, condition and working order, ordinary wear and tear excepted, and, at the expiration or termination of the Lease Term, or any renewal term, with respect to any of the Equipment, have such Equipment inspected and certified acceptable for maintenance service by the manufacturer. In the event any of the Equipment, upon its return to Lessor, is not in good repair, condition and working order, ordinary wear and tear excepted, Lessee shall be obligated to pay Lessor for the out-of-pocket expenses Lessor incurs in bringing such Equipment up to such status, but not in excess of the Casualty Value (as defined in the applicable Lease) for such Equipment, promptly after its receipt of an invoice for such expenses. Lessor shall be entitled to inspect the Equipment at Lessee's location at reasonable times.

TAXES. Lessee shall be obligated to pay, and hereby indemnifies Lessor and its successor and assigns against, and holds each of them harmless from, all license fees, assessments, and sales, use, property, excise and other taxes and charges, other than those measured by Lessor's net income, now and hereafter imposed by any governmental body or agency upon or with respect to any of the Equipment, or the possession, ownership, use or operation thereof, or any Lease or the consummation of the transactions contemplated in any Lease or this Agreement. Notwithstanding the foregoing, Lessor shall file all required personal property tax returns, and shall pay all personal property taxes payable with respect to the Equipment, Lessee shall pay to Lessor, as additional Rent, the amount of all such personal property taxes within fifteen (15) days of its receipt of an invoice for such taxes.

LOSS OF EQUIPMENT. Lessee shall bear the entire risk of the Equipment being lost, destroyed or otherwise permanently unfit or unavailable for use from any cause whatsoever (an “EVENT OF LOSS”) after it has been delivered to common carrier for shipment to Lessee. If an Event of Loss shall occur with respect to any item of Equipment, Lessee shall promptly notify Lessor thereof in writing. On the rental payment date following Lessor's receipt of such notice, Lessee shall pay to Lessor an amount equal to the rental payment or payments due and payable with respect to such item of Equipment on or prior to such date, plus a sum equal to the Casualty Value of such item of Equipment as of the date of such payment as set forth in such Lease. Upon the making of such payment by Lessee regarding any item of Equipment, the Rent for such item of Equipment shall cease to accrue, the term of this Lease to such item of Equipment shall terminate and (except in the case of loss, theft or complete destruction) Lessor shall be entitled to recover possession of such item of Equipment in accordance with the provisions of Section above. Provided that Lessor has received the Casualty Value of any item of Equipment, Lessee shall be entitled to the proceeds of any recovery in respect of such item of Equipment from insurance or otherwise.

INSURANCE. Lessee shall obtain and maintain for the Lease Term at its own expense, property damage and liability insurance and insurance against loss or damage to the Equipment (including so-called extended coverage), as a result of theft and such other risks of loss as are normally maintained on equipment of the type leased hereunder by company's carrying on the business in which Lessee is engaged, in such amounts, in such form and with such insurers as shall be satisfactory to Lessor. Each insurance policy will name Lessee as insured and Lessor as an additional insured and loss payee thereof as lessor's interests may appear, and shall provide that it may not be canceled or altered without at least thirty (30) days prior written notice thereof being given to Lessor or its successor and assigns.

INDEMNITY. Except with respect to the gross negligence or willful misconduct of Lessor, Lessee hereby indemnifies, protects, defends and holds harmless Lessor and its successors and assigns, from and against any and all claims, liabilities (including negligence, tort and strict liabilities), demands, actions, suits, and proceedings, losses, costs, expenses and damages, including without limitation, reasonable attorneys' fees and costs (collectively, “CLAIMS”), arising out of, connected with, or resulting from this Agreement, any Lease or any of the Equipment, including, without limitation, the manufacture, selection, purchase, delivery, possession, condition, use, operation, or return of the Equipment. Each of the parties shall give the other prompt written notice of any Claim of which it becomes aware. The provisions of this Section shall survive the expiration or termination of this Agreement or any Lease.

PROHIBITIONS RELATED TO LEASE AND EQUIPMENT. Without the prior written consent of Lessor, which consent as it pertains to subsections (b) and (d) below shall not be unreasonably withheld, Lessee shall not: (a) assign, transfer, pledge, encumber, hypothecate or otherwise dispose of this Lease or any rights or obligations thereunder; (b) sublease any of the Equipment; (c) create or incur, or permit to exist, any lien or encumbrance with respect to any of the Equipment, or any part thereof; (d) move any of the Equipment from the location at which it is first installed; or (e) permit any of the Equipment to be moved outside the continental limits of the United States.

IDENTIFICATION. Lessee shall place and maintain permanent markings provided by Lessor on the Equipment evidencing ownership, security and other interests therein, as specified from time to time by Lessor.

ALTERATIONS AND MODIFICATIONS. Lessee shall not make any additions, attachments, alterations or improvements to the Equipment without the prior written consent of lessor. Any addition, attachment, alteration or improvement to any item of Equipment shall belong to and become the property of Lessor unless, at the request of Lessor, it is removed prior to the return of such item of Equipment by Lessee. Lessee shall be responsible for all costs relating to such removal and shall restore such item of Equipment to its operating condition that existed at the time it became subject to the applicable Lease.

EQUIPMENT TO BE PERSONAL PROPERTY. Lessee acknowledges and represents that the Equipment shall be and remain personal property, notwithstanding the manner in which it may be attached or affixed to realty, and Lessee shall do all acts and enter into all agreements necessary to ensure that the Equipment remains personal property.

FINANCIAL STATEMENTS. Lessee shall promptly furnish to Lessor such financial or other statements respecting the condition and operations of Lessee, and information respecting the Equipment, as Lessor may from time to time reasonably request.

LESSEE REPRESENTATIONS. Lessee hereby represents that, with respect to this Agreement and each Lease: (a) the execution, delivery and performance thereof by Lessee have been duly authorized by all necessary corporate action; and (b) the individual executing such document is duly authorized to do so; (c) such document constitutes a legal, valid and binding obligations of Lessee, enforceable in accordance with its terms.

EVENTS OF DEFAULT. The occurrence of any of the following shall constitute an “Event of Default” hereunder: (a) Lessee shall fail to pay any Rent or other payment due hereunder within five (5) days after it becomes due and payable; (b) any representation or warranty of Lessee made in this Agreement, any Lease, or in any document furnished pursuant to the provisions of this Agreement or otherwise, shall prove to have been false or misleading in any material respect as of the date when it was made; (c) Lessee shall fail to perform any covenant, condition or agreement made by it under any Lease, and such failure shall continue for twenty (20) days after its receipt of notice thereof; (d) bankruptcy, receivership, insolvency, reorganization, dissolution, liquidation or other similar proceedings shall be instituted by or against Lessee or all or any part of its property under the Federal Bankruptcy Code or other law of the United States or of any other competent jurisdiction, and, if such proceeding is brought against Lessee, it shall consent thereto or shall fail to cause the same to be discharged within thirty (30) days after it is filed; (e) Lessee shall default under any agreement with respect to the purchase or installation of any of the Equipment; or (f) Lessee or any guarantor of Lessee's obligations under any Lease shall default under any other agreement with lessor or Cisco Systems, Inc.

REMEDIES. If an Event of Default hereunder shall occur and be continuing, Lessor may exercise any one or more of the following remedies: (a) terminate any or all of the Leases and Lessee's rights thereunder; (b) proceed, by appropriate court action or actions, to enforce performance by Lessee of the applicable covenants of any or all of the Leases or to recover damages for the breach thereof; (c) recover from Lessee an amount equal to the sum of (i) all accrued and unpaid Rent and other amounts due under any or all of the Leases (ii) as liquidated damages for loss of a bargain and not as a penalty, the present value of (A) the balance of all Rent and other amounts under any or all of the Leases discounted at a rate of five percent (5%) per annum, and (B) Lessor's estimated fair market value of the Equipment at the expiration of the Original Term; (d) personally, or by its agents, take immediate possession of any or all of the Equipment from Lessee and, for such purpose, enter upon Lessee's premises where any of the Equipment is located with or without notice or process of law and free from all claims by Lessee; and 9e) require the Lessee to assemble the Equipment and deliver the Equipment to Lessor at a location which is reasonably convenient to Lessor and Lessee. The exercise of any of the foregoing remedies by Lessor shall not constitute a termination of any Lease or this Agreement unless Lessor so notifies Lessee in writing.

DISPOSITION OF EQUIPMENT. In the event, upon the occurrence of an Event of Default, Lessor repossesses any of the Equipment, Lessor may sell or lease any or all of such Equipment, at one or more public or private sales. The proceeds of (i) any rental of the Equipment for the balance of the Original Term (discounted to present value at the rate of five percent (5%) per annum) or (ii) any sale of the Equipment shall be applied to the payment of (A) all costs and expenses (including, without limitation, reasonable attorneys' fees) incurred by Lessor in retaking possession of, and removing, storing, repairing, refurbishing and selling or leasing such Equipment and (B) the obligations of Lessee to Lessor pursuant to this Agreement. Lessee shall remain liable to Lessor for any deficiency.

PERFORMANCE OF LESSEE'S OBLIGATIONS. Upon Lessee's failure to pay rent (or any other sum due hereunder) or perform any obligation hereunder when due, Lessor shall have the right, but shall not be obligated, to pay such sum or perform such obligation, whereupon such sum or cost of such performance shall immediately become due and payable hereunder as additional Rent, with interest thereon at the highest legal rate from the date such payment or performance was made.

QUIET ENJOYMENT. So long as no Event of Default shall have occurred and be continuing, neither Lessor not its assignee shall interfere with Lessee's right of quiet enjoyment and use of the Equipment.

FURTHER ASSURANCES. Lessee shall, upon the request of Lessor, from time to time, execute and deliver such further document and do such further acts as Lessor may reasonably request in order fully to effect the purpose of any Lease and Lessor's rights thereunder. Lessor is authorized to file a financing statement, signed only by Lessor in accordance with the Uniform Commercial Code or signed by Lessor as Lessee's attorney in fact, with respect to any of the Equipment.

RIGHT AND REMEDIES. Each and every right and remedy granted to Lessor under any Lease shall be cumulative and in addition to any other right or remedy therein specifically granted to nor or hereafter existing in equity, at law, by virtue of statute or otherwise, and may be exercised by Lessor from time to time concurrently or independently and as often as Lessor may deem expedient. Any failure or delay on the part of Lessor in exercising any such right or remedy, or abandonment or discontinuance of steps to enforce the same, shall not operate as a waiver thereof or affect Lessor's right thereafter to exercising the same. Waiver of any right or remedy on one occasion shall not be deemed to be a waiver of any other right or remedy or of the same right or remedy on any other occasion.

NOTICES. Any notice, request, demand, consent, approval or other communication provided for or permitted hereunder shall be in writing and shall be conclusively deemed to have been received by a party hereto on the day it is delivered to such party at its address as set forth above (or at such other addresses such party shall specify to the other party in writing), or if sent by registered or certified mail, return receipt requested, on the fifth day after the day on which it is mailed, postage prepaid, addressed to such party.

SECTION HEADINGS; COUNTERPARTS. Section headings are inserted for convenience of reference only and shall not affect any construction or interpretation of this Agreement. This Agreement and each Lease may be executed in counterparts, and when so executed each counterpart shall be deemed to be an original, and such counterparts together shall constitute one and the same instrument.

ENTIRE LEASE. This Agreement and each Lease constitute the entire agreement between Lessor and Lessee with respect to the lease of the Equipment. No amendment of, or any consent with respect to, any provision of this Agreement or any Lease shall bind either party unless set forth in a writing, specifying such waiver, consent, or amendment, signed by both parties. TO THE EXTENT PERMITTED BY APPLICABLE LAW AND NOT OTHERWISE SPECIFICALLY PROVIDED TO LESSEE IN THIS AGREEMENT, LESSEE HEREBY WAIVES ANY AND ALL RIGHTS OR REMEDIES CONFERRED UPON A LESSEE UNDER THE CALIFORNIA COMMERCIAL CODE, AND ANY OTHER APPLICABLE SIMILAR CODE OR STATUTES OF ANOTHER JURISDICTION, WITH RESPECT TO A DEFAULT BY LESSOR UNDER THIS AGREEMENT OR ANY LEASE.

SEVERABILITY. Should any provision of this Agreement or any Lease be or become invalid, illegal, or unenforceable under applicable law, the other provisions of this Agreement and such Lease shall not be affected and shall remain in full force and effect.

ATTORNEYS' FEES. Should either party institute any action or proceeding to enforce this Agreement or any Lease, the prevailing party shall be entitled to receive from the other party all reasonable out-of-pocket costs and expenses, including, without limitation, attorneys' fees.

GOVERNING LAW AND JURISDICTION. THIS LEASE SHALL BE GOVERNED IN ALL RESPECTS BY THE LAWS OF THE STATE OF CALIFORNIA WITH RESPECT TO AGREEMENTS ENTERED INTO, AND TO BE PERFORMED, ENTIRELY IN CALIFORNIA. LESSOR AND LESSEE WAIVE ALL RIGHTS TO TRIAL BY JURY IN ANY LITIGATION ARISING FROM THIS AGREEMENT OR ANY LEASE. LESSEE CONSENTS TO THE NON-EXCLUSIVE JURISDICTION OF THE STATE COURTS OF CALIFORNIA, AND THE FEDERAL COURTS SITTING IN THE STATE OF CALIFORNIA, FOR THE RESOLUTION OF ANY DISPUTES HEREUNDER.

SURVIVAL. All obligations of Lessee to make payments to Lessor under any Lease or to indemnify Lessor, pursuant to Section or above, with respect to a Lease, and all rights of Lessor hereunder with respect to a Lease, shall survive the termination of such Lease.

3、甲方自产品投入运行之日起,对产品提供2年免费保修服务。

八、不可抗力:

如遇有无法控制的事件或情况(如火灾、风灾、水灾、地震、爆炸、战争、叛乱、或瘟疫等),遭受事件的一方不能履行协议规定的义务,应在15日内以书面形式通知另一方,并由当地政府部门或者公证机关出示证明,双方可视具体情况决定继续履行合同,迟延履行合同或者解除合同,因此致使的损失各自承担。

九、合同附件:

本合同第一条中测试的节电率数据作为合同附件,由双方经手人员签字盖章,作为日后双方结算的依据。

十、争议解决方式:

2、乙方对租用房没有处理权,不能擅自与人合租、转租或借给他人,也不能改变其用途,否则属于违约。如有此类情况发生除支付违约金外,甲方有权解除合同并收回房屋。

3、电、水、液化气和宽带等设施由乙方使用,产生的费用由乙方按时、足额缴纳,如有失误,造成麻烦,乙方自行解决,确需甲方出面协助解决时,乙方应支付甲方必要费用。以上缴费收据请乙方自行保存,以备查对。附:电表底数______;水表底数_______;以上数据由乙方自行核对,自行填写。

4、乙方在租用期内,不得改变房屋结构及其设施;使用中如有损坏或管道堵塞,应予修复、疏通,费用自理。

六、其他条款

1、合同期内,乙方履行本合同所有条款后,甲方不得提前收回房屋(发生甲方能力范围之外的不可抗事件和乙方违约的情况下除外)。

2、乙方租期未到期而要求退租时,必须与甲方协商一致,另要支付违约金给甲方。

3、合同期内,乙方如果出现以下任何情况:退租、转让及由于乙方违约原因造成甲方提前收回房屋的任一情况下,乙方都必须按合同缴清所有应付款项。

4、乙方承租到期应完好归还租房合同和所有钥匙及有关物品,如果所租房内的所用设备有损坏,乙方负责修复或者甲方在保证金内扣除相应赔偿金额。

5、在原租期已到期,新的续租合同还未签订的情况下,甲方将收回房屋。

3.甲方应确保出租的房屋享有出租的权利,如租赁期内该房屋发生所有权全部或部分转移、设定他项物权或其他影响乙方权益的事件,甲方应保证所有权人、他项权利人或其他影响乙方权益的第三者能继续遵守本合同所有条款,反之如乙方权益因此遭受损害,甲方应负赔偿责任。

4.甲方应为本合同办理登记备案手续,如因未办理相关登记手续致该合同无效或损害乙方租赁权利,应由甲方负责赔偿,且甲方应承担该合同相关的所有税费。

七、乙方义务

1.乙方应按合同的规定按时支付租金及押金。

2.乙方经甲方同意,可在房屋内添置设备。租赁期满后,乙方将添置的设备搬走,并保证不影响房屋的完好及正常使用。

3.未经甲方同意,乙方不得将承租的房屋转租或分租,并爱护使用该房屋如因乙方过失或过错致使房屋及设施受损,乙方应承担赔偿责任。

八、合同终止及解除的规定

1.乙方在租赁期满后如需续租,应提前一个月通知甲方,由双方另行协商续租事宜。在同等条件下乙方享有优先续租权。

2.租赁期满后,乙方应在日内将房屋交还甲方;任何滞留物,如未取得甲方谅解,均视为放弃,任凭甲方处置,乙方决无异议。

3)Party A will guarantee the lease right of the premises……In case of occurrence of ownership transfer in whole or in part and other accidents affecting the right of lease by party B,.party A shall quarantce that the new owner,and other associated,third parties shall be bound by the terms of this ,Party A will be responsible to compensate party B‘s losses.

4)Party A must register this contract with the relevant government authority If not doing so resulting that this contract is invalid or Party B‘s right of leasing may be damaged,Party A should take the all responsibilities. Party A should also bear the all the relevant taxes.

7. Obligations of Party B

1)Party B will pay the rental and the deposit on time.

2)Party B may add new facilities with Party A‘s approval. When this contract expires,Party B may take away the added

facilities without changing the good conditions of the premises for normal use.

3)Party B will not transfer the lease of the premises or sublet it without Party A‘s approval and should take good care of the premises. Otherwise,Party B will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.

4)Party B will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it. Otherwise,Party B will be responsible for the damages caused by it

8. Termination and dissolution of the contract

1)Within one month before the contract expires,Party B will notify Party A if it intends to extend the lease. In this situation,two parties will discuss matters over the the same terms Party B has the priority to lease the premises.

2)When the lease term expires,Party B will return the premises and attached facilities to Party A within days. Any belongings left in it without Party A‘s previous understanding will be deemed to be abandoned by Party B. In this situation,Party A has the right to dispose of it and Party A will raise no objection.

3)This contract will be effective after being signed by both parties. Any party has no right to terminate this contract without another party‘s agreement. Anything not covered in this contract will be discussed separately by both parties.

9. Breach of the contract

1)During the lease term,any party who fails to fulfill any article of this contract without the other party‘s understanding will be deemed to breach the contract. To ensure the estate manager to provide proper service to Party B, such as supply of cold water, hot water, electricity, proper maintenance of all kinds of equipment (including air-conditioners), and to provide free access to public areas and facilities such as gymnasium, children’s room and other recreational areas. To clean public areas and facilities; to illuminate public areas and provide signs; to repair access ways and public areas; to repair, maintain, and replace security, fire fighting and electrical appliances, transformer, gas, sewage, air conditioning systems, elevators, lifts and other facilities of the building.

租赁期内未经甲方同意,乙方不能转租其所租房屋,私自转让无效。 During the period of Tenancy, unless with the agreement of Party A, Party B cannot sub-let or let in part or in full the leased property to other Party.

乙方应爱护房屋及其设备,如因使用不当导致损坏应负责赔偿。

Party B must take care of the property and its contents, otherwise Party B should pay compensation to Party A for his improper use of the property.

在房内已有的装饰和设施之外,乙方如要增加设备或其他装修须征得甲方同意;租赁期满必须恢复原状如有损坏(正常使用磨损、结构或原有的问题除外),并承担其费用,经甲方验收认可后归还甲方。

In addition to the decoration and equipment already in the property, if Party B wishes to make any alterations or decorate the property, Party B should get the permission from Party A. On completion of the tenancy, Party B must hand-over the property to Party A in its original condition ( fair wear and tear, structural and inherent defects expected), and all fees arising from such work have to be borne by Party B.

Not to erect, install or remove any fixtures or partitioning, or to make any structural additions and alterations without the prior written consent of Party A.

To use the leased property exclusively as the residence of his family and not to use the leased property as an office or for any other purpose without the prior written consent or Party A , which consent shall not be ueasonably withheld.

未经甲方书面同意,屋外不得擅自放置标示板及陈列任何设施,不允许在房外、窗及门上挂晒衣物以影响房屋外观面貌,该条件不得被不合理拒绝。

Not to affix or display any signboard or other device visible from outside the leased property without the prior written consent of Party A, which consent shall not be ueasonably withheld, and not to use the outside of the leased property or any doors or windows to hang any washing.

八、 房屋不能居住时其他事件:

房屋由于火灾,恶劣天气,战争或其它甲方不可抗拒因素,而不是因为乙方直接或间接的疏忽及故意行为造成房屋毁坏而不能被正常使用及居住时,乙方从该日起停止支付租金,直至房屋可再被使用及居住时为止,如该房屋因任何不能归因于乙方的原因不能正常使用超过10天,乙方有权终止合同并无需承担任何责任,甲方应退还剩余部分押金及预付租金。甲方根据自己的意愿及经济、实际意义等原因,没有义务必须修缮复原房屋。若此情况发生,甲方应书面通知乙方,并在作出上述通知的十天之内将押金及预付租金全部退还乙方。

If the leased property are substantially destroyed or damaged by fire, bad weather, war, force major, or other causes beyond the control of Party A and not attributable directly or indirectly to the negligence or malice of Party B or are otherwise rendered unfit for use or occupation, the rent shall cease to be payable from the date the leased property become unfit for use or occupation until the leased property shall again be rendered accessible and fit for use, if the lessor’s property can not be properly used for any reasons beyond 10 days, Party B has the right to terminate the agreement without any.

5 出租人的责任

PARTY A’s obligation:

3甲方声明及保证甲方为该出租房屋的合法拥有人,有合法地位出租此房屋,并就出租事宜已取得有关方面的批准。

PARTY A assures to be the legal owner of the leased premises, to have the necessary legal capacity to lease it, and PARTY A’ action has been ratified by the authorities concerned.

甲方有义务负责出租房屋及设施的正常维护和保养,如房屋或设施非因甲方原因出现故障,甲方应在收到乙方通知后二十四(24)小时内自行或通过其他方式解决故障,否则,乙方有权雇佣第三方进行维修,由甲方承担所有费用并承担相关责任。由于不可抗力(如地震、台风、洪水、非人为的火灾等)、自然损耗或乙方以外的原因造成的损坏,亦由甲方承担有关费用。

PARTY A shall bear the responsibility of the said premises’ normal repairs and maintenance, and pay the cost related. In case the premises or facilities are in bad conditions not due to the reason of PARTY B, PARTY A shall complete the repair work within 24 hours upon receipt of the notice from PARTY B. Otherwise, PARTY B shall have the right to hire any third parties for the repair work at the cost of PARTY A. The cost of repairs to the said premises, if damaged by Force Majeure (such as earthquake, typhoon, flood non-man made fire, etc) reasonable wear and tear or by accidents beyond PARTY B’S control, should also be borne by PARTY A.
